White Raven Terms & Conditions

 

1. Overview:

This Agreement outlines the terms and conditions between White Raven and Clients for the development of websites and marketing systems. Our process is designed with a focus on efficiency, collaboration, and meeting the unique needs of each project.

2. Project Process & Timeline:

Each project will follow a structured process with internal benchmarks. These benchmarks are critical for passing the project seamlessly from one partner to the next, ensuring a cohesive and timely completion.

  • White Raven will collaborate with our Client to establish a project timeline, including all key milestones and deadlines.

3. Scope of Work & Revisions:

  • The Scope of Work will be defined at the project's initiation. Any requests or demands from the Client that fall outside the agreed-upon Scope of Work may result in additional charges.
  • The Client is entitled to up to two (2) revisions of the website after approval before launch. Subsequent edits and changes will be considered as part of Version 2 (V2) of the website build. For website projects that do not involve a V2 agreement, additional fees will be charged per revision. 
  • For marketing systems, any changes, edits, or alterations to the calendar or Scope of Work beyond three (3) edits per project or calendar will incur additional fees.

4. Additional Work & Fees:

  • All fee tables are outlined within the agreed-upon Scope of Work. Additional work that is not defined within the SOW varies depending on the project.
  • If project timelines are extended due to Client requests beyond the initial Scope of Work (including approved marketing system calendars), a $150 per day fee will be charged.
  • Post-launch website edits (if not part of a V2 agreement) and additional marketing system alterations will be billed at a rate ranging from $60 to $150/hour.
  • All additional work must be agreed upon in writing by both parties.

5. Payment Terms:

  • All invoices issued by White Raven must be paid by the Client on the agreed-upon due date.
  • A late payment fee of 5% will be charged for any overdue invoices past (5) business days.
  • After (5) business days of non-payment, work will cease until payment is received in full.

  • All payments are final & WRC does not provide refunds of any kind. 

6. Mutual Respect & Transparency:

  • White Raven and the Client agree to work together with mutual respect and transparency. Open communication is encouraged to ensure that both parties are aligned with the project's progress and expectations.
  • White Raven is committed to delivering high-quality work and meeting the Client's needs within the agreed-upon Scope of Work and timeline.

7. Termination:

  • Either party may terminate the agreement with written notice if there are significant breaches of these terms.
  • Upon termination, the Client is responsible for payment of all services rendered up to the point of termination.
  • All assets created by White Raven for the Client will be handed over no more than 10 days after contract termination.
  • All project work will cease on the day of termination. If a project is not complete, White Raven is not responsible for completion unless otherwise specified in writing by both parties. 

8. Legal & Jurisdiction:

  • This Agreement shall be governed by the laws of the jurisdiction in Nebraska, California, Georgia, & Florida, USA.
  • Any disputes arising from this Agreement will be resolved through negotiation, mediation, or arbitration, as necessary.
